Uniper Courts Buyers With 7% Dividend Growth Pledge as Equinor Weighs Joining Brookfield Bid
Published on 11/07/2026 at 04:44 | Editorial boerse-global.deUniper has moved to give prospective investors a clearer view of returns, setting out a medium-term dividend policy targeting average annual growth of 7% from a base payout of EUR 300 million. For the 2026 financial year, the Düsseldorf-based utility intends to propose a distribution of EUR 321 million — equivalent to EUR 0.77 per share — subject to a corresponding final balance-sheet profit under commercial law and shareholder approval. The decision would fall to the 2027 annual general meeting. Uniper paid EUR 0.72 per share for the 2025 financial year.
Shares in the company rose 1.9% to EUR 43.90 on the day. Reuters framed the new payout framework as groundwork for a possible reprivatisation.
RWE and KKR Confirm Non-Binding Offer
Speculation about the ownership question gained a concrete anchor on Monday, when RWE chief executive Markus Krebber confirmed at the ADIPEC conference that RWE and KKR had submitted a non-binding offer for Uniper, according to media reports. The German government holds more than 99% of the shares and is examining a sale of up to 74.12% or an initial public offering, the Börsen-Zeitung reported.
The bidding field could yet shift. Handelsblatt reported that Equinor is considering joining the Brookfield-CPP consortium, citing two people familiar with the sale process. The parties declined to comment initially. Should such an alliance materialise, it would change the constellation in the sales procedure — though a partial IPO remains an alternative to a sale to a strategic or financial investor. Works council and management favour a renewed listing, according to Handelsblatt.
Should investors sell immediately? Or is it worth buying Uniper?
Three to five bidders are expected to be invited to the next round in the coming weeks, the paper said. After gaining access to the data room and several months of due diligence, they would likely submit binding offers early next year.
Earnings Upgrade Built on Nine-Month Results
The dividend announcement lands alongside an already-communicated guidance increase. Uniper raised its outlook for adjusted net income in 2026 by EUR 50 million to a range of EUR 550–650 million, while leaving its adjusted EBITDA forecast unchanged at EUR 1.1–1.3 billion. The revision rested on preliminary, unaudited results for the first nine months of 2026, in which Uniper posted adjusted EBITDA of EUR 1.024 billion and adjusted net income of EUR 579 million. The full nine-month report is due on 10 November.
Chief executive Michael Lewis points to the company's strategy and planned investments as the foundation for rising earnings in the years ahead, Reuters reported. Whether that growth can carry the payout path is the central question for investors, since the durability of the dividend depends on how earnings translate into distributable profit.
EUR 5 Billion Investment Programme Sets the Growth Test
Uniper is tying its distribution targets to a capital-spending drive. The investment budget through 2030 totals EUR 5 billion, according to the Börsen-Zeitung, with more than half earmarked for flexible power generation and roughly a third for renewables. If the company can generate the expected profitable growth from these projects, rising dividends and the reprivatisation could reinforce each other: new investors would gain a payout perspective while the company broadens its future earnings base.
Execution risk cuts both ways. Uniper came away empty-handed from a power plant auction for state subsidies, and the chances in a further round in December are unclear, Handelsblatt reported. That matters for valuation because flexible generation is a focal point of the investment budget. Missing out on expected funding, or implementing projects only on less favourable terms, could make the spending plan harder to realise and weigh on the payout outlook should earnings growth suffer.

Tolling Deal and a London Capital Markets Day
On the operating side, Uniper agreed a seven-year tolling contract on 30 October for the planned battery storage facility at the Roßfeld site. The counterparty is Lippstädter Ladesäulen GmbH, a wholly owned subsidiary of Stadtwerke Lippstadt. Uniper will handle marketing and commercial optimisation, with commissioning scheduled for summer 2027.
The next fixed date for investors is a capital markets day in London on 16 November 2026, where the strategy will be presented ahead of the targeted IPO readiness in early 2027. How convincingly Uniper links its investment priorities to future earnings will shape the assessment — and, alongside evidence by year-end of which bidders remain in the process, help determine whether the offered price looks adequate.
