Volatus Aerospace is juggling two moving parts at once: a takeover that has yet to clear its final hurdles and a drone contract that is already delivering. The Canadian company agreed roughly two weeks ago to acquire 100% of Lithuania's AISPECO UAB, a developer of airborne sensor systems and flight-management software whose technology is meant to slot into Volatus's own offering.

The headline price is US$10.5 million in base consideration, though the structure leans heavily on paper. Cash accounts for just US$3.0 million of that figure, with the remaining US$7.5 million to be paid to the sellers in Volatus shares. The agreed consideration remains subject to adjustment.

On top of the base price, up to US$2.5 million in performance-linked payments could change hands, contingent on hitting agreed milestones over a three-year window. That earn-out sits outside the fixed consideration. Closing still depends on customary conditions, including the conditional approval of the TSX.

Should investors sell immediately? Or is it worth buying Volatus Aerospace?

First batch delivered, second option being called

Separately, Volatus has shipped the initial drone fleet for intelligence, surveillance and reconnaissance work to a NATO partner it has not named. The delivery falls under a contract worth up to C$9 million that also covers training. Volatus pegged the first tranche at roughly C$4.5 million.

The customer has also begun exercising its option on a second tranche, and Volatus has booked additional orders as a result. The announcement of the AISPECO purchase was cited in media coverage at the time as a company-specific trigger behind a temporary rise in the share price.

Desjardins, meanwhile, lifted its price target on Volatus from C$0.90 to C$0.95 about two weeks ago, according to media reports, while keeping its buy recommendation in place.
