Vonovia Calls Berlin Expropriation Drive Unconstitutional as Federal Counterweight Takes Shape

Vonovia says Berlin's plan to socialise large housing portfolios lacks legal basis, as its stock falls 1.3% and Jefferies cuts its target to EUR 23.

Vonovia has come out swinging against Berlin's plans to socialise large private housing portfolios, branding the proposals unconstitutional and unlikely to survive a courtroom. In comments to Handelsblatt, the Bochum-based landlord said the measures had no legal basis — a public stance aimed squarely at the uncertainty that has been weighing on its share price.

The stock felt that pressure on Monday, slipping 1.3% to EUR 16.52 and hovering just above its 52-week low of EUR 16.18. Behind the market jitters sits a political agreement struck in the capital over the weekend, in which SPD, Greens and Die Linke, following exploratory talks, backed a joint paper allowing private housing groups to be stripped of units above a 10,000-apartment floor. Compensation under the draft would be capped at EUR 16 billion.

A Federal Counterweight in the Works

Help may be coming from above. The Federal Ministry of the Interior told the Deutsche Presse-Agentur that the interior, justice and housing ministries are coordinating a federal law designed to block municipal expropriation drives. A coalition committee decision backing the move dates from July 2026, though no concrete draft has yet been tabled in Berlin.

For Vonovia, the federal push offers a useful counterweight to the capital's ambitions, where several state parties want to transfer private housing stock into public ownership. Legal experts are sceptical about whether a blanket federal ban lacking an independent positive regulatory purpose would hold up under the Basic Law. Should Berlin pass its own statute, a lengthy march through the courts looks all but certain — leaving owners facing persistent legal ambiguity either way.

Should investors sell immediately? Or is it worth buying Vonovia?

Roughly 140,000 Berlin Units in the Firing Line

The weekend paper targets companies with large holdings, letting affected owners keep a fixed base stock. Under such a rule, the bulk of Vonovia's Berlin units would fall in the crosshairs. At the end of 2025, the group's Berlin portfolio numbered just under 140,000 apartments. Cooperative holdings, along with buildings completed after the start of 2021 or still under construction, would be excluded from the considerations.

The initiators point to a financing concept to be fleshed out as the process moves forward, though the state's budgetary position makes the financial feasibility a formidable hurdle. A formal state-level bill is envisaged for mid-2028, with compensation capped at no more than EUR 16 billion, subject to the state finances bearing the load.

Vonovia is also keen to stress what it contributes. Around 1,000 new-build apartments are currently under construction in its Berlin portfolio, where the average rent stands at EUR 8.26 per square metre.

Talks With Die Linke Collapse

Friction has already spilled into direct exchanges with city politicians. Days ago Vonovia published its own positions ahead of a planned meeting with Luigi Pantisano of Die Linke, only for the party to cancel shortly before the appointment. The landlord pushed back against allegations concerning dunning procedures, lawsuits and rent increases, and said it remains open to dialogue.

Jefferies Trims Target but Stays Bullish

Alongside the political noise, sector fundamentals are doing their own damage. On Wednesday Jefferies cut its price target on Vonovia to EUR 23.00 from EUR 28.50 while keeping a "Buy" rating. The analysts flagged changed financing costs and portfolio valuations as the main challenges. Higher interest rates and regulatory intervention are making long-term planning considerably harder for portfolio holders, and investors' reluctance reflects those shifting conditions.

November 4 Update in Focus

Operational clarity arrives shortly. On 4 November 2026 Vonovia publishes its interim report for the first nine months of the financial year, giving the market its first hard look at how resilient earnings have been against the political and market headwinds — with portfolio valuation and earnings trends both under the microscope.
