Sivers Semiconductors is pressing ahead on two fronts — shaking up its boardroom for a potential Nasdaq listing while locking in fresh defense contracts that validate its technology roadmap. The Swedish chip developer's latest moves reveal a company simultaneously fortifying its governance and its order book.

On Wednesday, the company announced that Joakim Nideborn and Helena Svancar have been nominated to join the board of directors, with Dr. Bami Bastani remaining as chairman. Incumbents Todd Thomson and Karin Raj are also up for re-election, trimming the body to five members. The nominations committee has opted to replace outgoing deputies Tomas Duffy, Erik Fallstrom and Keith Halsey, signaling a purposeful lean toward capital markets expertise.

Svancar's appointment is especially telling. She brings deep experience in cross-border M&A and capital market transactions — precisely the skills needed as Sivers explores a secondary listing on Nasdaq New York. The company has already taken a concrete preparatory step by upgrading the audit of its 2024 and 2025 consolidated accounts to PCAOB standards, a non-negotiable requirement for US-listed firms. The Swedish domicile will remain unchanged.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

The board reshuffle was preceded by a significant operational win. Sivers secured a $6.6 million extension for the EW STAR electronic warfare program, funded through the Northeast Microelectronics Coalition Hub on behalf of the U.S. Department of Defense. The project focuses on broadband antenna array technologies capable of simultaneous transmission and reception — relevant for radar, communications, and electronic warfare. Sivers is collaborating with BAE Systems, MIT Lincoln Laboratory, and Columbia University to turn research into deployable prototypes.

This latest award builds on an initial $5.6 million grant received in October 2024, under a three-year programme. The dual-use nature of the technology means breakthroughs in defense applications could later find commercial pathways. Earlier this month, Sivers also announced a $1.5 million development partnership with Tachyon Networks for a 60 GHz mmWave transceiver aimed at fixed wireless access in urban and enterprise settings.

Investors now await the first-quarter interim report, delayed to May 29. The company cites ongoing audit work tied to the Nasdaq exploration as the reason for the postponement. Between new engineering contracts in wireless and photonics and a board engineered for a transatlantic equity push, Sivers is building a narrative that marries operational momentum with strategic ambition.
